These Terms & Conditions (“Terms”) govern the relationship between Rock Paper Scissors Studio LLP (“Company,” “we,” “us,” or “our”) and any client or user (“you,” “your”) engaging with our website or services. By accessing or using our services, you agree to be bound by these Terms.
1. Services
- We provide creative design, UX/UI solutions, and branding services as outlined in specific project agreements or proposals.
- All deliverables, timelines, and responsibilities shall be mutually agreed upon in writing prior to commencement.
2. Intellectual Property Rights
- All concepts, strategies, and materials produced by us remain the intellectual property of [Rock Paper Scissors Studio LLP until full payment is received.
- Upon settlement of all dues, intellectual property rights of final deliverables transfer to the client, unless otherwise specified in writing.
- We reserve the right to display completed work in our portfolio and marketing channels, unless a confidentiality or non-disclosure agreement is in place.
3. Client Obligations
The client shall:
- Provide accurate, timely, and complete information required for project execution.
- Ensure that all content, logos, and materials supplied do not infringe upon third-party rights.
- Respond promptly to feedback requests, approvals, and communications to avoid delays.
4. Payments
- Fees, payment terms, and schedules shall be outlined in the project contract or invoice.
- Late or incomplete payments may result in suspension of services and/or additional charges.
- All fees are non-refundable unless expressly stated otherwise in the contract.
5. Revisions and Scope
- Revisions are limited to the scope defined in the project agreement.
- Any work outside the agreed scope shall be considered an additional service and billed separately.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary or sensitive information exchanged during the engagement. This obligation survives termination of the agreement.
7. Limitation of Liability
- While we exercise due care and skill in providing services, we do not guarantee specific business outcomes (such as increased sales or market performance).
- Our liability, whether arising in contract, tort, or otherwise, shall not exceed the total fees paid for the services in question.
8. Termination
- Either party may terminate a project with written notice.
- The client remains liable for payment of all completed work and expenses incurred up to the date of termination.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India and any disputes shall be subject to the exclusive jurisdiction of its courts.
